Legal Terms

These terms govern your access to the CarryLend website, software, documentation, token sale or contribution interface (if any), and related materials (together, the “Services”). By using the Services or acquiring $CARRY, you agree to these terms. If you do not agree, do not use the Services.

1. Nature of the project

CarryLend is experimental, early-stage software related to decentralized finance on public blockchains. Interfaces, smart contracts, and documentation may be incomplete, unaudited, or change without notice. Nothing on the Services is a promise of performance, profit, or continued operation.

2. No investment advice

Nothing on the Services is financial, legal, tax, or investment advice. $CARRY is not offered as equity, debt, a claim on profits, or a regulated security in any jurisdiction unless expressly stated in a separate offering document. You are solely responsible for your decisions and for complying with laws that apply to you.

3. Eligibility

You represent that:

  • You are of legal age and capacity where you live;
  • You are not prohibited from using crypto assets or DeFi software under applicable law;
  • You are not a person or entity on any sanctions list, and you are not located in a comprehensively sanctioned jurisdiction if that would make participation unlawful;
  • You will not use the Services for money laundering, fraud, or other illegal activity.

4. Contributions / token sale (if applicable)

If you contribute funds or acquire $CARRY through a sale or fundraising interface:

  • Contributions may be final and non-refundable except where required by law;
  • Any stated raise size, allocation tables, vesting schedules, or use of proceeds are plans, not guarantees;
  • Token utility, governance rights, and treasury mechanics may change via protocol governance or operational necessity;
  • You understand blockchain transactions are irreversible and you are responsible for wallet security and correct addresses.

5. Software & smart contracts

Smart contracts may contain bugs. Forked or third-party code (including lending and stake-pool programs) carries inherited risk. Use of mainnet, testnet, or forked environments is at your own risk. You should review source code and, when available, independent audits before using real funds.

6. Risks

Risks include, without limitation:

  • Total or partial loss of funds;
  • Smart-contract, oracle, and key-management failure;
  • Market, liquidity, and borrow-rate risk (carry can invert);
  • Regulatory action restricting access or treating tokens as regulated instruments;
  • UI / website downtime, phishing, or impersonation by third parties;
  • Governance and operational risk.

You accept these risks voluntarily.

7. No warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRYLEND CONTRIBUTORS, DEVELOPERS, OPERATORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF FUNDS, DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR $CARRY. AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS OR (B) THE AMOUNT YOU PAID DIRECTLY TO US (IF ANY) FOR ACCESS TO THE SERVICES IN THE THREE MONTHS BEFORE THE CLAIM.

9. Indemnity

You will indemnify and hold harmless CarryLend contributors and operators from claims arising out of your use of the Services, your violation of these terms, or your violation of any law or third-party right.

10. Intellectual property

Site branding, text, and design are provided for legitimate use of the Services. Source code may be subject to its own license terms in the public repository. You may not misrepresent affiliation or use marks to deceive others.

11. Third-party services

Links to GitHub, wallets, RPCs, oracles, or other third parties are not endorsements. Their terms and privacy practices apply separately.

12. Privacy

The marketing site may store limited technical data (e.g. standard server logs) and, if you submit an email for notifications, that address for launch communications. Do not submit personal data you are not willing to share. On-chain activity is public by nature.

13. Changes

We may update these terms by posting a new version on this page. Continued use after changes means you accept the updated terms.

15. Governing framework

To the extent a dispute is not barred by the nature of decentralized software, these terms are intended to be interpreted under principles common to commercial software disclaimers, without creating a partnership, agency, or employment relationship between you and any contributor.
